Terms and Conditions of Sale<\/h2>\n

These Terms and Conditions apply to all sales of goods by Ostrel Group Limited<\/strong> (the Seller<\/strong>) and shall prevail over any terms proposed by the Buyer unless expressly agreed in writing by the Seller.<\/p>\n<\/div>\n

1. Definitions<\/h4>\n

Buyer<\/span> means the person, firm or company purchasing Goods from the Seller.<\/p>\n

Seller<\/span> means Ostrel Group Limited (company number [\u25cf]).<\/p>\n

Goods<\/span> means electrical distribution equipment, switchgear assemblies, panelboards, consumer units, circuit protection devices, enclosures, accessories and related products supplied by the Seller.<\/p>\n

Manufacturer<\/span> means the original manufacturer of the Goods.<\/p>\n

Contract<\/span> means the agreement for the sale and purchase of Goods incorporating these Terms.<\/p>\n

Special Goods<\/span> means Goods manufactured, assembled, configured or modified specifically for the Buyer or for a particular project and which are not standard stock items.<\/p>\n

Incoterms<\/span> means Incoterms\u00ae 2020 published by the International Chamber of Commerce.<\/p>\n

2. Basis of Contract<\/h4>\n

2.1 All quotations issued by the Seller are invitations to treat only and do not constitute an offer.<\/p>\n

2.2 A Contract shall arise only when the Seller issues written order confirmation or dispatches the Goods, whichever occurs first.<\/p>\n

2.3 These Terms apply to the exclusion of all other terms which the Buyer seeks to impose or incorporate.<\/p>\n

2.4 No variation of these Terms shall be effective unless agreed in writing by a director of the Seller.<\/p>\n

3. Role of the Seller<\/h4>\n

3.1 The Seller acts solely as a distributor of the Goods.<\/p>\n

3.2 The Seller is not the manufacturer and does not assume any obligations or liabilities of the Manufacturer.<\/p>\n

3.3 The Seller shall not be responsible for the design, manufacture or engineering performance of the Goods except as expressly set out in the Contract.<\/p>\n

4. Price<\/h4>\n

4.1 Prices are exclusive of VAT, customs duties, taxes, freight, insurance and other charges unless expressly stated otherwise in writing.<\/p>\n

4.2 The Seller reserves the right to adjust prices prior to order confirmation where supplier prices, exchange rates, freight costs, insurance costs, duties or regulatory costs change.<\/p>\n

4.3 The Buyer shall pay all applicable taxes, duties and governmental charges arising from the sale, transport, export or import of the Goods.<\/p>\n

5. Payment<\/h4>\n

5.1 Unless otherwise agreed in writing by the Seller, payment must be made in cleared funds in full before production, procurement or dispatch of the Goods.<\/p>\n

5.2 The Seller shall have no obligation to procure, manufacture, allocate, assemble or dispatch any Goods until payment has been received in full.<\/p>\n

5.3 The Seller may, at its sole discretion, grant credit terms to a Buyer with an established trading history.<\/p>\n

5.4 Where credit terms are granted, payment must be made in accordance with the invoice terms.<\/p>\n

5.5 Time for payment shall be of the essence.<\/p>\n

5.6 The Seller may charge interest on overdue sums pursuant to the Late Payment of Commercial Debts (Interest) Act 1998 together with recovery costs.<\/p>\n

5.7 The Seller may suspend deliveries, withdraw credit terms, cancel further performance or terminate any Contract if payment is overdue.<\/p>\n

6. Delivery<\/h4>\n

6.1 Delivery shall take place in accordance with the Incoterm specified in the order confirmation or invoice.<\/p>\n

6.2 Any delivery dates stated by the Seller are estimates only and time for delivery shall not be of the essence.<\/p>\n

6.3 The Seller shall not be liable for delay caused by Manufacturers, suppliers, carriers, customs authorities, port congestion, shortages, government restrictions or any event beyond the Seller\u2019s reasonable control.<\/p>\n

6.4 If the Buyer fails to accept delivery, the Seller may store the Goods at the Buyer\u2019s risk and expense and may invoice the Buyer accordingly.<\/p>\n

7. Risk<\/h4>\n

Risk in the Goods shall pass to the Buyer in accordance with the applicable Incoterm.<\/p>\n

8. Title and Retention of Title<\/h4>\n

8.1 Title to the Goods shall remain with the Seller until the Seller has received payment in full in cleared funds for the Goods and all other sums due from the Buyer.<\/p>\n

8.2 Until title passes, the Buyer shall store the Goods separately, protect them adequately and clearly identify them as the property of the Seller.<\/p>\n

8.3 The Seller may, without prejudice to any other right or remedy, enter any premises where the Goods are stored in order to recover them where payment is overdue.<\/p>\n

9. Inspection and Acceptance<\/h4>\n

9.1 The Buyer shall inspect the Goods immediately upon delivery.<\/p>\n

9.2 Any claim for shortage, transit damage, visible defect or non-conformity must be notified to the Seller in writing within seven days of delivery.<\/p>\n

9.3 Any latent defect claim must be notified promptly on discovery.<\/p>\n

9.4 Failure to notify the Seller in accordance with this clause shall constitute acceptance of the Goods, except to the extent prohibited by law.<\/p>\n

10. Manufacturer Warranty<\/h4>\n

10.1 The Seller is not the manufacturer of the Goods.<\/p>\n

10.2 The Goods are supplied subject only to the Manufacturer\u2019s warranty, where such warranty exists.<\/p>\n

10.3 The Seller shall not be liable for any failure by the Manufacturer to honour any warranty or guarantee.<\/p>\n

10.4 The Seller may, at its discretion, assist the Buyer in passing warranty claims to the Manufacturer, but does so without assuming liability for the outcome.<\/p>\n

11. Technical Information<\/h4>\n

11.1 Technical information, catalogues, drawings, illustrations, dimensions, performance data and specifications are provided for general guidance only.<\/p>\n

11.2 Unless expressly agreed in writing, the Seller does not provide engineering design services, design verification, project-specific design responsibility or installation advice.<\/p>\n

12. Professional Buyer<\/h4>\n

12.1 The Buyer confirms that it is purchasing the Goods in the course of business and not as a consumer.<\/p>\n

12.2 The Buyer acknowledges that it has sufficient technical expertise, whether in-house or through its consultants or contractors, to select suitable equipment.<\/p>\n

13. Buyer Specification Responsibility<\/h4>\n

13.1 Where Goods are supplied in accordance with specifications, drawings, schedules, ratings, bills of quantities or instructions provided by the Buyer or its representatives, the Buyer shall be solely responsible for their accuracy, completeness and suitability.<\/p>\n

13.2 The Seller shall have no liability for any error, omission, incompatibility or unsuitability arising from such specifications, drawings or instructions.<\/p>\n

14. System Design Responsibility<\/h4>\n

14.1 The Goods are individual components intended to form part of a wider electrical installation or system.<\/p>\n

14.2 Responsibility for system design, engineering integration, load calculations, fault level calculations, protection coordination, discrimination, cable sizing, earthing arrangements, environmental suitability, installation design and commissioning shall rest solely with the Buyer and its appointed engineers or contractors.<\/p>\n

14.3 The Buyer shall ensure that the Goods are suitable for the intended application and operating environment.<\/p>\n

15. Installation Responsibility<\/h4>\n

15.1 Installation, testing, energisation and commissioning must be carried out by suitably qualified and competent electrical professionals.<\/p>\n

15.2 The Seller shall have no responsibility for installation methods, configuration, settings, testing, commissioning or use of the Goods after delivery.<\/p>\n

16. Electrical System Risk<\/h4>\n

16.1 Electrical distribution equipment forms only one element of a wider electrical system involving other equipment, design assumptions, environmental conditions and installation factors.<\/p>\n

16.2 The Seller shall not be liable for any loss, damage or failure arising from short circuit, overload, arc fault, incorrect coordination, incorrect settings, equipment malfunction, fire, power interruption, installation defect, external fault or failure of the wider electrical system.<\/p>\n

16.3 Responsibility for system safety, compliance and operational integrity rests with the system designer, installer and operator.<\/p>\n

17. No System Performance Guarantee<\/h4>\n

The Seller does not warrant or guarantee the performance, capacity, reliability, efficiency or operational suitability of any wider system, installation or project into which the Goods are incorporated.<\/p>\n

18. Fitness for Purpose<\/h4>\n

18.1 The Seller gives no warranty that the Goods are fit for any particular purpose unless expressly agreed in writing by a director of the Seller.<\/p>\n

18.2 The Buyer is solely responsible for determining the suitability of the Goods for its intended purpose and project requirements.<\/p>\n

19. Special and Bespoke Goods<\/h4>\n

19.1 Special Goods are Goods manufactured, assembled, configured, labelled, modified or sourced specifically for the Buyer or a particular project.<\/p>\n

19.2 Orders for Special Goods may not be cancelled once engineering, procurement, material allocation, manufacture, assembly or production has commenced.<\/p>\n

19.3 Payment for Special Goods must be made in full before production begins, unless otherwise agreed in writing.<\/p>\n

19.4 If the Buyer purports to cancel an order for Special Goods after production or procurement has commenced, the Buyer shall be liable for all costs incurred by the Seller, including engineering costs, materials, labour, supplier charges, Manufacturer cancellation fees, transport charges, storage charges and administrative costs.<\/p>\n

19.5 Where Special Goods cannot reasonably be resold, the Seller may invoice up to 100% of the contract price.<\/p>\n

19.6 Special Goods shall be deemed accepted upon completion of manufacture or assembly.<\/p>\n

19.7 Payments received for Special Goods are non-refundable once production, procurement or assembly has commenced.<\/p>\n

20. Project and Programme Risk<\/h4>\n

20.1 The Seller shall not be responsible for project scheduling, contractor programming, site readiness, access, sequencing, dependencies, interface coordination or coordination with other trades.<\/p>\n

20.2 The Seller shall not be liable for project delay, liquidated damages, contractor penalties, backcharges, prolongation costs, standing time or any other project-related losses.<\/p>\n

21. Export and Regulatory Compliance<\/h4>\n

21.1 Unless otherwise agreed in writing, the Buyer shall be responsible for import clearance, customs duties, taxes, local certification, local approvals and compliance with all laws and regulations in the country of destination and installation.<\/p>\n

21.2 The Buyer shall ensure that the Goods are lawfully imported, marketed, installed and used in the country of destination.<\/p>\n

22. EU Importer Responsibility<\/h4>\n

22.1 Where Goods are exported from the United Kingdom into the European Union, the Buyer shall be deemed the importer for the purposes of applicable EU product legislation unless otherwise expressly agreed in writing.<\/p>\n

22.2 The Buyer shall assume all obligations of an importer under applicable EU law, including obligations relating to product conformity, technical documentation availability, market surveillance cooperation, traceability, corrective action and recall obligations.<\/p>\n

22.3 The Seller does not assume importer obligations in the European Union unless expressly agreed in writing.<\/p>\n

23. Export Controls and Sanctions<\/h4>\n

23.1 The Buyer shall comply with all applicable export control, trade sanctions, customs and anti-boycott laws.<\/p>\n

23.2 The Seller may refuse, suspend or cancel any order if performance would breach, or in the Seller\u2019s reasonable opinion risk breaching, any such laws.<\/p>\n

24. Limitation of Liability<\/h4>\n

24.1 Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability which cannot lawfully be limited or excluded.<\/p>\n

24.2 Subject to clause 24.1, the Seller\u2019s total aggregate liability arising out of or in connection with the Contract shall not exceed the invoice value of the Goods giving rise to the claim.<\/p>\n

24.3 Subject to clause 24.1, the Seller shall not be liable for loss of profit, loss of revenue, loss of business, loss of contracts, loss of opportunity, loss of goodwill, project delay, liquidated damages, contractor penalties, backcharges, installation costs, removal costs, labour costs, commissioning costs, loss of use, damage to any wider system or project, or any indirect or consequential loss.<\/p>\n

25. Cancellation<\/h4>\n

25.1 Orders may not be cancelled without the Seller\u2019s prior written consent.<\/p>\n

25.2 Where cancellation is accepted, the Seller may recover all losses, costs and expenses incurred, including supplier charges, Manufacturer charges, freight, storage and administration costs.<\/p>\n

25.3 This clause 25 is without prejudice to clause 19 in respect of Special Goods.<\/p>\n

26. Insolvency and Default<\/h4>\n

The Seller may suspend deliveries or terminate the Contract immediately by notice if the Buyer becomes insolvent, enters administration, enters liquidation, makes any arrangement with creditors, ceases or threatens to cease trading, or fails to make payment when due.<\/p>\n

27. Force Majeure<\/h4>\n

The Seller shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including war, terrorism, strikes, labour disputes, supplier failure, shortages, transport disruption, fire, flood, epidemic, government action, export restrictions, import restrictions or customs delays.<\/p>\n

28. Data Protection<\/h4>\n

Each party shall comply with applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018, to the extent applicable to its processing of personal data under or in connection with the Contract.<\/p>\n

29. Entire Agreement<\/h4>\n

29.1 The Contract constitutes the entire agreement between the parties.<\/p>\n

29.2 The Buyer acknowledges that it has not relied on any statement, representation, assurance or warranty not expressly set out in the Contract.<\/p>\n

30. Third Party Rights<\/h4>\n

A person who is not a party to the Contract shall have no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Contract.<\/p>\n

31. Language<\/h4>\n

31.1 These Terms, the Contract and all related contractual documents shall be drawn up in the English language.<\/p>\n

31.2 Any translation of these Terms, the Contract, any quotation, order confirmation, technical document, catalogue, brochure or related material is provided for convenience only.<\/p>\n

31.3 In the event of any conflict, inconsistency or ambiguity between the English version and any translated version, the English version shall prevail.<\/p>\n

31.4 All notices, claims, proceedings and contractual communications relating to the Contract shall be in English unless the Seller agrees otherwise in writing.<\/p>\n

32. Governing Law and Jurisdiction<\/h4>\n

32.1 The Contract and any dispute or claim arising out of or in connection with it shall be governed by the laws of England and Wales.<\/p>\n
